The Darkside of the DistroKid Sale You Didn't See Coming
Added:Have you ever looked at these massive music catalog acquisitions and thought, "Something doesn't add up here?" I mean, think about it. When a private equity firm buys an artist catalog for $100 million, but that catalog is only bringing in $1 million a year in streaming, how do they ever make their money back is the real question.
>> Amount of money that they gave me for my catalog, it literally would have took me a hundred years to make that money. I I I calculated it and I was like, "Why would I sell y'all this?" Why would I say and they and they were like, "Look, here's how much you're making per year off of this. We're going to give you a hundred years worth of money right here all at once."
>> The standard lifespan of a copyright's peak commercial viability is about 35 years. After that generation that loved it ages out and those anniversary periods are over and the streams begin to naturally decay under normal circumstances, those investors are staring at a massive multi-deade loss here. Unless they aren't planning to rely on streaming at all. Listen, this video is going to be a little bit different because you all requested it and I don't really report on the news, but I feel like I have to to kind of quell some of the uneducated speculation on this sale. Now, let's look at the chessboard right now. In February 2026, Universal Music Group finalized a roughly $700 million acquisition of Downtown Music, swallowing CD Baby and Fuga together whole. Then, in July 2026, private equity giant CBC Partners brought a majority stake in Drokid, valued at around that $2 billion that was floating around. But this isn't just consolidation. This is a massive, highly calculated land grab. And today I'm going to show you why these multi-billion dollar deals are taking place and how they are positioning themselves to profit off of your music with or maybe without your consent. So to understand the dark side of the Drokid acquisition, we have to go back to May 2022 with a company that doesn't have anything to do with this.
Shuttertock acquired a stock music platform called Pawn 5 for roughly $210 million. Shortly after, Pawn Five introduced a data set royalty. They allowed AI companies to train on the metadata. So they say, offering creators an 8020 split. 80% to Pawn Five, 20% the artists. They had an opt out button, but by default, everyone was opted in. And I kept my music in cuz I had no clue this was going on. And sure enough, I got paid a data set royalty over a hundred bucks for like a few payments. So that was proof of concept. Fast forward through 2023 and 2024, distributors started updating their terms of service.
Some outright banned AI music. Others wrote incredibly vague clauses. But why?
Because what I feel is they were preparing for what I like to call the training gold rush. By late 2025, some major labels started making their peace with the AI platforms. Universal Music Group settled their lawsuit with UDIO in October 2025, and Warner Music Group settled with both UDO and Sun-ho in November 2025. But make no mistake here, the war is far from over. Universal Music Group and Sony Music are still in active, fierce litigation against Sunno.
UMG and Sony aren't backing down because they think the other deals sold out too cheap. They are holding out in court because they know just how valuable the music data sets actually are. And this is why they want to introduce more songs into the court onto the record so they can get more statutory damages for those records. But beyond that, there's something even more bigger here. Why did CBC buy Drokid is the question. While the majors fight in court, where are these AI platforms getting the sheer volume of data they need to train the rest of their engines right now? They get it from the independents. Drokit alone controls an estimated 30% to 40% of all new music uploaded globally. And that is a gold mine of clean, diverse, human-made training data. Okay, are you getting the picture here? Think about the economics here. A Spotify subscription is $12.99 a month. a Sununo account ranges from $ eight to $24 a month. The AI platforms are scaling fast and I don't believe that their subscription prices will come down. They will go up and they will add other premium services and options on. So, if you are a smart investor at a private equity firm like CBC or Insight Partners, you aren't buying Drokid to collect $20 annual upload fees from bedroom producers. No, no, you are buying Drokid because you want to get in front of the train. you want to license the metadata and audio files, if so, in front of millions of indie artists directly to AI companies for mass data set payouts. It just makes sense. But here's the real question. When those massive data set royalty pools are paid out, how much is the distributor going to take and how much is actually going to reach you?
If they follow the pawn five model, they keep 80% and give you 20%. If you are distributed through a smaller indie distributor that doesn't have the leverage of the big three, Dro Kid, Touncor, and CD Baby, then you might not get paid a training royalty at all. So now we have another migration crisis getting ready to happen here. And also we have to ask, should we allow it to train or should we not? Thing is, it already did. So what do you do as an artist? A lot of people are having an ethical crisis right now. Should I let my music be used to train my eventual replacement? Which is a bit absurd to think that way because of the limitations that has already been placed on AI. But here's my contrarian, albeit harsh take here. If your music has been on streaming platforms or with major distributors for the last two years, it has already been trained on. YouTube, Tik Tok, and web scrapers have already digested your catalog. The ship has sailed. It ain't coming back. Nothing we can do about that from the sale point.
So, the choice isn't do I let them train. The choice is do I want to get paid for it or do I want them to do it for free. That's really where we are right now. And my suggestion is to watch this play out closely. I feel we need a grand industrywide legal settlement for indie distributors to protect independent musicians. I feel legislation needs to be written for this. Shout out to top music attorney for leading the charge on this. But we need clear structures here to make this really work at a full grand scale. But there is one critical limitation that the industry must put in place. AI cannot be trained on AI period. To keep AI models from degrading into slot training on slop, the data sets must consist of 100% human generated watermark free audio. In short, there must be a detection tool at the distributor level to determine if your songs are eligible to enter the data set for training. And once this is in place, then we can have the discussion of how this training royalty will work, adding to the royalty pools of your master royalties, your publishing royalties, and your data set royalties. Human art is the premium fuel here. AI detection tools are going to become standard in every recording studio to verify that audio is organic and clean for licensing because the game is changing. And if you keep doing things the old way, relying purely on the streaming revenue part and ignoring how your data is being monetized or just kicking back, it's going to cost you thousands in future passive revenue. You have to understand what a modern music catalog actually is.
It's no longer just a collection of songs. It's a verified highvalue data set. With three royalty pools potentially, you're talking about a massive jump in how the music industry will now make money.
