This case demonstrates that reputation-based businesses are particularly vulnerable to economic harm when false information spreads, and that organizations have a duty to promptly clarify factual inaccuracies to protect individuals' reputations and prevent measurable financial losses.

Added:Hey, what's up y'all? This is Rodney and I'm back and I wanted to come down here and talk about the MS when I tell y'all. So, listen, y'all won't see my my face this video because one, I mean, girl, just listen to my voice, okay? And then two, um, I'm going to be placing documents on the screen and I just felt like, girl, it would probably just be easier to do it this way. Um, and then three, honestly, girl, I'm sitting in my bed and I really just don't feel like even though I just got home from the barber shop. Um, I just wanna I just don't feel like it. I just don't. That's what it is. So, we're just going to pretend, as I used to say back in the day, pretend you're listening to the radio. Okay. So, listen to this. So, I was over here minding my business, right? Because I have been thinking about whether or not I want to go to Essence this this year. I went I've been to Essence one time and that was what two three years ago. It was it wasn't like too long ago but like pretty recent. I know I didn't go last year. I think it was a year before last I believe. So it was like in the last two or three years I went. So anyways I was thinking like do I want to go back to you know New Orleans? You know I love you know I love this baby girl. You know I like when the [ __ ] get in my face.
Yes. I like when they get in my face and be like baby. You know how I be talking and I be like, "Huh?"
>> Yes.
>> You already know the assignment. Go ahead.
>> Yes.
>> Whoa. Say, "Baby, what's your >> Yes. What's up?" Okay. What's up? Okay.
>> I would just love if you could just say, "Baby, >> baby."
>> Baby.
>> Um, but anyway, so I was thinking about going to New Orleans this year for Essence Fest. Um, but I'm I'm still trying to determine, you know, what I want to do. And so I just happened to look up one day and I saw that baby the girls are bringing out lawsuits. I said, "Oh my god."
So let's go ahead and get into it. So Caroline Wangga, baby, let me tell you something. She is the uh former CEO of Essence uh Ventures.
Now, I had never heard of Caroline. Um, we're gonna call her Queen Caroline because based off of based off of the way that she presents herself, this thing does not play. When I tell you, I think this lady is so fly. Her her style is not my style. But I think she is so fly to me.
And you could tell that she girl don't have a problem being seen. Babe, Miss Thing gives me like she is like she live in Wakanda, girl. Wakanda forever girl.
She give me Wakanda. Like she gives me queen queen Wangga of Wakanda.
Um she's a woman who you could tell by the way that she chooses to express herself through her fashions um through her style that she is a woman who loves bright colors. Um she does not mind uh being the center of attention. She does not mind being seen. She does not uh play she does she's not a woman who um will probably sit in the back. People who people who um in my in my opinion people who choose to we all have our own styles right but I think that when people choose to choose this type of display when it comes to you know the way that you present yourself that's not that's not a person who um doesn't mind being seen. that's not a person who has a problem um you know voicing their opinion and concerns. That's probably why she's in the position um that she's been in. She's a she probably is like a go-getter. You know what I'm saying? Not to say if you wear white and black your whole life that doesn't mean you're not a go-getter. you know, but we based off So, when I started doing a little, you know, going through her uh Instagram page, I said, "Oh, oh, she's giving Queen Shiva." Okay. She's giving Miss She's giving her brother Sachala, baby.
She's giving she lives in Wakanda.
Anyway, shout out to uh Caroline. All right, so let's get into it. So, this was a press release. I'm not going to read the entire press release, but this and this is how you know, girl, this lady is suing. This this lady is suing Essence and Sundial. And when I tell you she posted the documents on her Instagram page, there have been times where um when we're talking about hot topics, you probably can't find the court documents. You have to do some digging or you have to try to pay pay for them or whatever, you know. But for the most part, I don't really see people posting the court documents to their Instagram page. That's why I said Miss Missing is not playing she not playing games. She's not playing any games. Missing said, "You don't have to go searching, girl. You don't you don't have to go wonder if you gonna find it on Twitter.
Matter of fact, you can go to the horse's mouth. I'm going to post it on my Instagram page so y'all can see everything that's said in the court documents." I said, "Oh, yes. Oh, yes, Queen Shiva." All right. Um, so this was posted actually on June the 11th.
Press release for immediate release.
Former CEO Caroline Wingga sues Essence uh Ventures and Sundial Media and Technology Group for defamation.
Caroline Wangga, the CEO of Essence Ventures, uh, from June 2020 until she resigned in March 2025, filed a defamation claim today against Essen, Essence Ventures, EV, which manages Essence Communications, Inc., Afropunk, um, Beauty Con, and Essence Studios, and its parent company, Sundial Media and Technology Group in New York. Uh, I'm sorry, Sundial Media and Technology Group in New York State Court. The defamation st stemmed from Eevee and Sundial leadership felon to publicly announce that Miss Wanga had no role whatsoever in planning or EXECUTION OF THE DISASTROUS HEY, COME ON. DISASTER, BABY. It's a [ __ ] mess um annual Essence Festival of Culture, which commenced on July the 4th, 2025 in New Orleans. Miss Wangga is represented by lead counsel Larry Sha Sha Schaefer at Schaefer Halen LLC. Um, according to Miss Schaefer, Mr. Schaefer, Eevee and Sundial leadership did nothing to correct the devastating public narrative that Miss Wanga was directly involved in this festival. Despite her and her supporters repeated request to publicly announce that Miss Wangga had no role whatsoever in the planning or execution of this festival, the public critique of this festival was largely directed at Miss Wangga. She was attacked as directly responsible for the pan-African focus of the festival and the choice of Miss Wangga's former employer, Target Corporation, a corporate a corporate sponsor for the festival of the festival. girl. Like I said, I didn't go last year, but I saw a lot of people talking about how Essence was a hot ass mess last year. Like they girl, the way the way the girls was tearing Essence up last year, girl.
At the time of the 2025 festival, Miss Wangga had been on leave from her position as Essen as Essence Ventures CEO since September 2024 and had made the decision to leave this position effective March 31st, 2025.
Eevee and Sundial leadership, excuse me, Eevee and Sundial leadership um asked uh Miss Wangga to delay any public announcement of her departure until after the festival. and she and her legal counsel agreed. It therefore appeared to the public that that she was a CEO when the festival took place on July the 4th, 2025. Miss Wangga and Eevee and Sundial leadership all knew, however, that this was not the case and that she had no role in whatsoever in either the planning or execution of the festival. When the public outcry and the blaming of Miss Wangga commenced and reached a national crescendo in the weeks following the festival, which included numerous personal threats against Miss Wanga and her family, she and her council repeatedly asked EV and Sundial leadership to promptly correct this devastating public narrative. Miss Wena and her council have drafted a public statement.
I'm sorry, Miss Wanga and her council even drafted a drafted a public statement stating Miss Wanga had departed from the CEO CEO role. many months before the festival and had no role in the festival whatsoever. Miss Wanger and her council specifically asked among others um somebody Dennis the founder and executive chairman of Sundial Media and Technology Group and Kirk excuse me and Kirk Macdonald uh CEO of Sundial Media and Technology Group to issue a public statement in order to correct the record and stop the blaming and back backlash against Miss Wangga.
The leadership uh refused to issue this statement and instead delayed any announcement while the public outcry against Miss Wangga built. Eevee finally issued a general announcement of Miss Wangga's departure as CEO on August the 25th, 2005, almost two months after the disastrous festival. Girl, when I tell you baby, they gonna let you let it be known that that that festival was a [ __ ] mess. Um and ensuing blaming of Miss Wanga. The statement did not specifically correct the widely held view that Miss Wangga had made influenced the decisions which negatively impacted the festival and Essence brand. The statement thus appeared to condone this false narrative. As a result of this delay and refusal to correct the public record, Miss Wangle's reputation has been destroyed and her company Wanglewoman has suffered grave economic harm. Wing a woman is a consulting venture which advises and assists uh companies and individuals on personal and professional development and its success depends exclusively on the reputation of its founder and namesake Caroline Winga.
>> Orders have been cancelled and prospective business leads have all evaporated due specifically to the damage to Miss Winga's reputation described above.
This lawsuit is being uh brought is being brought to Essence Ventures and Sundial leadership including Rich Lou Dennis and Kirk Macdonald to account for allowing a false public narrative to to destroy Miss Wangga's reputation. Um Essence Ventures and Sundial are supposed to be have are supposed to be about elevating black businesses and leadership. But this sad story demonstrates that when a scapegoat was useful, black oh black empowerment went out the window, baby. Um, Mr. Schaefer further emphasize that he and his client are confident any reasonable judge or jury will see their clear obligation EB and Sundow owed to clear Miss Wingle's name. When they refuse to do this, the damage to her reputation is their responsibility to remediate.
All right. Now, this is what the complaint says. One, plaintiff Caroline Wangle was hired to serve as the chief executive officer CEO of Essence Ventures in June 2020.
Number two, Miss Wangga was a health related Well, I'm sorry, Miss Wanga was on a health related leave of absence from September 2024 until she officially stepped down from her role in March 2025.
Essence Ventures and Miss Wanga agreed to jointly announce Miss uh Wingga's departure from the company after Essence Venture uh Ventures held its annual July the 4th festival. The festival commenceed that's this is number three.
Um the uh girl, you can see it on the screen. The festival commenced on July the 4th, 2025 after Miss Wanga had already separated from the company. But before her departure had been announced, the festival was unsuccessful and deeply criticized by the public. Miss Wanga was not involved with the planning or execution of the festival in any capacity, but because she remained publicly held out as a CEO, she was blamed. She was blamed by the public for the failure of the festival and faced significant backlash including threats directed toward her and lies spread widely about her.
So my first question would be this.
When do they start out? Because I don't know. I'm asking I'm just asking. When do they start planning the festival? I would assume it's a yearby-year thing but again I don't know. I've never you know been the CEO. I mean I'm CEO of Rodney the Voice. Okay. But I've never been the CEO of Essence Ventures. I've never planned, you know, a festival. Uh I've never planned a festival of that magnitude. Um so when do they start like Okay, so the festival is held basically um July the 4th weekend after Essence is over? Do they wait a month, two months, three months to regroup, or do they, you know, do they wait until, you know, the start of the new year to kind of start putting stuff into play? Um, I would want to know. That's that's what that's that that would be my first question because she's saying that she um took a leave of absence from September 2024 until she officially stepped down from the role March 2025.
So, okay, the the festival is held July, right? So, July, August, September. So, from July to August, she's saying that she had nothing to do with the festival. So, I'm assuming the festival goes from year to year, right?
As far as planning.
Okay. Essence Ventures uh was silent uh missed the ongoing backlash against Miss Wangga.
Beginning in July, Miss Wangga made multiple requests to company leadership to clarify that she was not involved with the festival. She had been on a health rellated leave and neither her heritage nor her prior involvement uh employment had any connection to the programming or sponsorships of the festival. Her colleagues, friends and supporters made similar request, baby.
So the girls basically said, "Girl, Queen Wakanda came down to New Orleans girl trying to turn it into the Wakanda Festival." And she said, "I ain't had nothing to do with the [ __ ] [ __ ] I was at I was at home sick, baby. I was trying to get my [ __ ] together. I'm trying to get my life together, making sure I didn't go home to glory. And her y'all come blaming me on some [ __ ] Now, I will say this because she's saying that she had loss of income and her businesses have suffered due to the reputation, due to the backlash uh of the festival that she had nothing to do with. Um, let me ask y'all a question. This is going to sound kind of dumb because we know the answer. We know she wouldn't have said anything if there was if there wouldn't have been any backlash, right?
So if the festival went off, if the festival happened and it was a success and everybody loved it, then it wouldn't be an issue, right? Because at that point, she would have, you know, she would have received a credit and um you know, it would have been any type of backlash, her businesses probably wouldn't have suffered. But being that there was was a was backlash and being that it was a disastrous based off what she said and again I've heard people talk about Essence last year and a lot of people um said it was a mess.
So the the is it is it her um what's the question I'm trying to ask?
Is this basically what comes with being the CEO? Even though you were technically you saying she's saying that she was not involved at any in any capacity, would you have been involved?
Girl, no shade. No shame, Miss Caroline.
But Miss Caroline, would you have been involved if it would have went off with a, you know, and it would, you know, was a bang and everybody loved it? Your ass would have been involved then, right? I don't know. Y'all let me know what y'all think. Okay, let's keep on reading.
Despite uh these requests, when Essence Ventures announced her departure in August 2025, it intentionally omitted these key facts. Um this intentional omission contributed to the false narrative that was spreading and enable the public to continue to hold Miss Wanga responsible for the failure of the festival. Uh Miss Wangga's colleagues and friends attempted to defend her reputation but were unsuccessful in the light of EB's silence. Uh, Miss Wangga has suffered uh significant reputational, economic, and emotional damage due to EB's conduct. Miss Wangga now brings a claim against defendants Essence Ventures and Sundial Media and Technology Group for defamation by implication.
>> Plaintiff uh is an individual who resides in the state of New York.
Essence Ventures is a limited liability company organized in Delaware with its principal place of business in New York.
Sundial Media and Technology Group is a limited liability company organized in Delaware with its principal place of business in New York. Sund uh Sundial Media and Technology Group is a parent company of Essence Ventures. Factual background. Uh Miss Wangga was hired to serve as CEO of Essence Ventures in June 2020. She left her previous position as uh chief culture, diversity, and inclusion officer at Target Corporation to join Essence Ventures. Um, Essence Ventures is a media and investment company that develops and operates culture culture focused brands with an emphasis on content and platforms directed toward black audiences. Essence Ventures manages several smaller media and cultural brands including Essence Communications Inc., Afrounk, um, Beauty Con and Essence Studios. Essence Ventures is under the control and ownership of Sundial Media and Technology Group, it is parent company.
The CEO of Essence Ventures reports directly to the CEO of Sundial Media and Technology Group. Miss Wanga uh served successfully as Essence Venture CEO for four years. She was a strong leader and helped the community with major growth and improvements and completely changed the culture and team uh sentiments.
She also increased EV's overall profits by 260% and led record-breaking financial and operational results for two consecutive festivals in 2023 and 2024. In September 2024, Miss Wanga took a health related leave of absence. After her leave, Miss Wanga decided not to return to Essence Ventures. She chose to step down from this role in order to focus full-time on growing her own business, Wang uh Wingga Woman LLC. On April 14th, 2025, Miss Wanga signed a separation agreement with EV, which established that her official separation date will be March the 31st, 2025.
So, January, January, February, March.
So, we still got April, May, June, July because the the festival is July the 4th weekend.
So her official um her official separation date was March 31st, 2025.
But again, she said that she didn't have [ __ ] to do with the goddamn festival cuz she said she was she was on [ __ ] I was gone.
Hey, Eevee and Miss Wanka mutually agreed that the company would announce her departure after the 2025 Essence Festival of Culture. Um, EV hosted the festival in New Orleans from July the 4th, 2025 through July the 6th, 2025.
Um, the festival is hosted annually by Essence Ventures and is meant to celebrate African-American culture. Miss Wanga was on leave from September 2024 until her separation and was not operating as CEO during the planning or execution of the festival. She was not involved with the festival in any capacity.
The festival was ultimately a failure and led to significant backlash from the public. The festival was criticized for, among other things, its operational defects and poor planning. Baby singer Stephanie Mills, a performer at the festival, published a letter addressing the operational defi deficiencies and significant production issues, organiz organizational shortcomings, and overall chaotic and stressful environment backlash. I mean, I'm sorry, backstage at the festival.
Singer Lauren Hill also performed at the festival and went on nearly two hours late due to the poor planning and time management. By the time she began her set at 2:30 a.m., only a few hundred people remained in the audience, so most attendees had already left the venue.
Girl, I heard about that, too. You know, some people were trying to put it on long. I saw some people saying, "Oh, Lauren, Lauren showed up late." But girl, they said the people was gone and it was not Lauren fault that you know Lauren, she's a late girl. You got to tell Lauren. You got to tell Lauren if the if I if she if she is she is she's supposed to sing on the on the 29th. You got to tell Lauren she singing on the 26th just to make sure she get there on time. But this time they say it wasn't Lauren's fault, baby.
Um but I heard that a girl pretty much the venue was empty by the time Lauren got on stage. Girl, ain't nobody Can I say something? When I think Can I say something? Girl, when I think of EssenceFest, I think of I do think of black women. I do. Even though I know black men are at Essence Fest, but I do think of black women. And I think of black women of a particular age.
And just kept I don't know too many people sticking around um to see Lauren Hill perform at 2:30.
Maybe if it was Chris Brown, the girls would still be out and about, right?
Um maybe if it was even Beyonce, you know, she's a woman of a particular age, but you know, Beyonce is still Beyonce.
I don't see too many uh the people who I feel like are Lauren Hill fans are probably like the 35 up in like, you know, like probably 35 40 up, you know what I'm saying? And girl, we not standing out till no 2:30 in the morning WAITING FOR NOW [ __ ] TO COME to the stage and sing. For the most part, we gonna be gone home. I know I'm gone, girl. I know I'm already at I'm already at the house. I done took me a shower. I don't make me a night cap, but I'm sitting in the bed, girl, watching CSI, girl. I'm watching Law and Order. Girl, I'm watching something. But girl, I'm not out in the streets, especially not in a concert at 2:30 or I'm at or I'm at some nigga's house. Hey. Okay, baby.
M okay that's probably where I would be honestly. No, I'm just playing. Anyways, um another cause of backlash was was Target Corporation sponsorship of the festival. Target was one of the cor uh corporate sponsors of the festival along with Coca-Cola, AT&T, L'Oreal Group, and Penguin Penguin RandomHouse. Targets sponsorship led to harsh criticism from the uh public due to the change in its programs and policies related to diversity, equity, and inclusion in 2025, which had led to largely uh publicized uh Target boycott. The public blamed Miss Wangga for the Target sponsorship based on her previous position as an officer of Target despite Miss Wangga having no involvement with this sponsorship.
Among the false and defamatory statements online relating to this sponsorship was that Miss Wangga was selling out the black community in securing this this sponsorship and had done so solely due to her previous employment as an officer at Target. Um there was also intense backlash related to the focus of the festival. The annual festival the annual Essence Festival of Culture has traditionally focused on celebrating African-American culture.
The 2025 festival introduced more pan-African culture into its programming, including AfroCaribbean and continental African influence. Uh, many members of the African-American community were upset by this shift. They expressed frustration in losing uh an event historically meant to celebrate black Americans. Miss Wangga is of African descent. She was born in Kenya and she was blamed by members of the public for the shift in focus. She was accused of erasing black American uh heritage. Many attacked her Africa. I do remember that now. Now I do remember that. I do remember people being upset that basically girl it was given Wakanda basically and the girls didn't like that. Anyways, um she was accused of erasing black American heritage. Many attacked her African heritage, leaving comments online like go back to Africa. The Africans took over and the African girl is uh running it and ruining ruining it.
Oh, that is so mean, y'all. You know the sad thing about it, girl, if we gonna be honest, girl, you know it wasn't white people leaving those comments cuz white people don't go to Essence. girl.
The outrage directed toward Miss Wangle was based on one her being the name CEO of Essence Ventures at the time of the festival and two um her African heritage and three her connection to Target as a prior officer of Target. Miss Winganger saw her reputation being detrimentally harmed by the festival and promptly hired a public relations team and legal team to help her manage the effects. In an attempt to resolve this with EV, Miss Wangga and her PR team drafted a joint press release from Miss Wangga and Essence uh Ventures. The drafted press release not only announced her departure, but it importantly clarified that she had not been involved with the planning or execution of the festival and that neither uh her heritage nor her past relationship with Target had any impact on the festival. Miss Wang's PR team sent the draft um drafted press release to company leadership and an email stating that the press that the press was designed for Eevee to set the record straight and stop the backlash against Caroline Winga. Eevee refused to sign onto this fully factual statement and instead drafted a completely different statement. Um the statement was vague and served only to protect the company.
This statement uh the statement announced Miss Wangle's departure but crucially failed to state that she was not involved with the planning of or execution of the festival or clarify that neither her heritage nor her prior role at Target played any role in the festival. EV was aware of the ongoing backlash against Miss Wangga. Despite his awareness um and the repeated requests from Miss Wangga and current and former Essence Ventures employees that Eevee correct the false narrative being widely spread, Eevee deliberately chose to omit the key fact. This statement expectedly did nothing to clear Miss Wangga's name nor stop the backlash against her. Instead, Eevee's omission contributed to the false interference that she as a name CEO of at the time of the festival was to blame for the festival's failure. Miss Wangle's reputation has been severely harmed by defendants defamatory conduct.
Her company, Wanglewoman, has consequently um suffered. Wanglewoman serves to advise both individuals and institutions on personal and professional development. Specifically, it advises clients on how company operations and individual purpose can better serve their mission. Um, Winga Woman was built off the reputation uh, Miss Wanga created for herself as both CEO and a businesswoman through decades of professional work. Her reputation led to her becoming a highly sought-out consultant for businesses and individuals hoping to incorporate purpose into their operational and personal lives. The success of Wangle Woman is directly tied to Miss Wangle's uh business reputation.
Girl, I'm I'm tired of reading all this.
Girl, it's on the screen though. We gonna get down to the money part.
Specifically, the following deals were backed out uh of in the aftermath of f of the festival and statement. A deal with African uh brain uh brain trust for $15,000 scheduled to close on September the 4th. A deal with Nail Corporation for 20 29,250 $250 scheduled to close on September the 4th.
A deal with Dollar Tree for $40,000 scheduled to close on September the 4th.
A deal with Harlem Fashion Week for $15,000 scheduled to close on September the 4th. Um, a deal with Cedar Valley for $15,000. Scheduled to close on September the 4th, baby. September the 4th. Huff elbow girl.
Oh, ain't that Beyonce birthday, too?
Girl, the girl September girl, she anytime September the 4th roll around, she going to be sick to her stomach. Um, a deal with Phoenix Fashion Week for $15,000 scheduled uh to close on September the 16th. An event with Ted Next unpaid, but the global explo but the global exposure is estimated to be worth over $100,000 scheduled to close on September the 16th.
um a deal with Haiti Heritage Center for $20,000 which was signed in July 2024 but backed out of in fall 2025.
In addition to these tangible deals uh totaling $249,250 in loss revenue, Wangle Woman lost out on a number of opportunities with other companies that chose not to engage with Wangle Woman due to the damage to Miss Wango's reputation but would have otherwise been interested. Girl, girl, girl, that's it. Girl, I'm tired. Y'all get what's going y'all? It's on the screen. Girl, I'm tired of reading, [ __ ] She's suing and she want her goddamn money.
Girl, that's that's the whole purpose of the [ __ ] lawsuit. She suing and she want her goddamn buddy, girl. I don't know. Y'all let me know what y'all think.
I want all the girls out there who know about [ __ ] like this, get in the comment section and let us know. Does Miss Wanger have a Does she have a Is she Does she have a point? [ __ ] I wasn't there. I was not what I always say. I wasn't there. Girl, Miss Caroline said, "Bitch, I wasn't there. [ __ ] I was at home." Okay.
Y'all don't y'all y'all had y'all had y'all done went out there, girl, and [ __ ] up the church's money and now y'all don't tried to blame it on me and I ain't have [ __ ] to do with it. That's what she said. I mean, she didn't say it that way, but that's pretty much what she said. Anyways, I don't know, y'all.
I just thought it was interesting that girl I was thinking about going to Essence and then girl all all of a sudden I ran across this and I said oh oh and she did this right and girl but she's a Miss Caroline Miss Caroline you a petty queen I love it Miss Caroline she's a petty queen cuz she came out with this [ __ ] girl right before Essence hit Miss Caroline say you want to play [ __ ] we can play Miss Caroline said, "Queen Shiva, Queen Queen of Wakanda said, "Baby, you want to play these games, [ __ ] We can play some games." Mhm.
Baby, but I think I think I think Essence might be a hit this year based off of at least at least with the people that are performing in uh at the concerts. I think it's a now what's going to happen the rest of the, you know, three days, I don't know, but I could see them really trying to make sure that they come back with a bang this year. since last she was. So, in the words of Miss Caroline, disastrous baby, a [ __ ] mess.
Anyways, I'm gone. I'm tired. I'll talk to y'all later. Y'all have a good day.
Bye y'all.
